DISCIPLINARY COMMITTEE MEMBERS

The BPOSACCOS Disciplinary Committee is established to safeguard ethical conduct, mutual respect, and a harassment-free environment in our cooperative.

COMMITTEE MANDATE
The Disciplinary Committee will exist to enforce specific ethical standards by:

  • Investigating breaches of ethical conduct, including violations of respect for members and use of abusive, profane, or threatening language toward staff, employees, or fellow members.
  • Recommending fair sanctions for actions like intimidation, degrading comments, or interference with staff duties to promote a supportive cooperative culture.
  • Ensuring impartial hearings that uphold dignity and accountability without conflicts of interest.

KEY RESPONSIBILITIES
Committee members will:

  • Review complaints of unethical behavior, such as abusive language or disrespect toward society employees and members.
  • Deliberate objectively on evidence to maintain trust and ethical integrity.
  • Promote awareness of standards prohibiting harassment or threats in all interactions.

DESIRED QUALIFICATIONS
The Ideal candidates must demonstrate:

  • Review complaints of unethical behavior, such as abusive language or disrespect toward society employees and members

ELIGIBILITY CRITERIA
To be eligible for appointment, an applicant must:

  • Be a member in good standing and a shareholder of BPOSACCOS.
  • Be 18 years of age or older.
  • Not be employed by the Society.
  • Not be engaged in business as a moneylender.
  • Have no criminal record.
  • Be compliant with Know Your Customer (KYC) requirements.
  • Note: Successful candidates will be required to go through vetting as per FIA requirements.

INVESTMENT COMMITTEE MEMBERS

The Investment Committee is responsible for overseeing the Society’s investment portfolio. It advises the Board on investment opportunities to maximize returns while managing risk, ensuring the long-term financial sustainability of the SACCO.

Key Responsibilities

  • Developing and reviewing the Society’s investment policy and strategy.
  • Identifying and appraising viable investment opportunities (e.g., real estate, equities, money markets).
  • Monitoring the performance of the Society’s investment portfolio.
  • Conducting risk assessments on potential and current investments.
  • Advising the Board on asset allocation and liquidity management for investments.

Required Skills and Qualifications

Applicants should demonstrate strong financial acumen and strategic thinking:

  • Finance/Economics: Degree or qualification in Finance, Economics, or Investment Management.
  • Real Estate/Business: Experience in property management or business development.
  • Legal: Knowledge of property law or commercial contracts.
  • General: Strategic vision, analytical skills, and prudence in financial matters.

SUPERVISORY COMMITTEE MEMBERS

The Supervisory Committee plays a critical role as the internal auditors of the Society. Members are responsible for ensuring that the Society’s affairs are conducted in accordance with the Co-operative Societies Act, Rules, By-Laws, and policies.

Key Responsibilities

  • Reviewing financial reports and ensuring the accuracy and reliability of financial records.
  • Evaluating the adequacy and effectiveness of internal controls and risk management systems.
  • Ensuring compliance with BPOSACCOS By-laws, policies, and relevant legal regulations.
  • Conducting investigations into complaints from members regarding the management of the Society.
  • Reporting findings and recommendations to the Board and the Annual General Meeting.

Required Skills and Qualifications

Applicants should possess:

  • Finance/Accounting: Bachelor's Degree in Accounting or Finance
  • Professional Certification: Such as ACCA, CIMA, BICA or CIA
  • Governance: Experience in Internal Audit, Compliance or Risk Management
  • General: Proven integrity, strong leadership skills, and a commitment to the cooperative movement.

CREDIT COMMITTEE MEMBERS

The Credit Committee is responsible for the general supervision and assessment of all loans to members. It ensures that the lending policies of the Society are strictly adhered to and that loan risks are effectively managed.

Key Responsibilities

  • Vetting and approving or rejecting loan applications in accordance with the Credit Policy.
  • Assessing credit risk and ensuring the borrower's ability to repay.
  • Monitoring the loan portfolio to ensure low delinquency rates.
  • Reviewing and recommending changes to the Credit Policy to meet member needs and market conditions.
  • Ensuring all loans are adequately secured and documented.

Required Skills and Qualifications

Applicants should possess relevant expertise to manage the Society's credit functions:

  • Finance/Banking: Experience in credit management, banking, or financial analysis.

  • Risk Management: Ability to assess financial risk and borrower credibility.

  • ICT/Digital: Familiarity with loan management systems or financial software.

  • General: Analytical mind, confidentiality, and adherence to ethical lending practices.
